Neurobyte Technologies

Terms of Service

Terms governing the use of Neurobyte Technologies' websites, software, cybersecurity, and cloud services.

These terms govern your use of this website, the free tools and training we publish on it, and any Neurobyte Technologies Ltd software or service you access through it. Where you have signed a separate proposal, quotation, statement of work or service agreement with us, that document governs the paid engagement and prevails over these terms wherever the two differ.

1. Services

Neurobyte Technologies Ltd provides software engineering, enterprise systems and ERP implementation, AI solutions, cybersecurity services and cloud infrastructure services.

Nothing on this website is an offer capable of acceptance. Scope, deliverables, timelines and pricing for any paid work become binding only when set out in a written proposal, quotation or contract that both parties have accepted.

2. Using this website and our free tools

Our free security tools, training simulations and cyber range are provided for lawful, good-faith use, for learning and for testing systems you own or have written authorisation to test.

You must not use them to scan, attack, probe or otherwise test any system without that authorisation, to break any law, to interfere with other users, or to attempt to circumvent the limits, authentication or rate controls we apply.

We may suspend or withdraw access where use is abusive, unlawful, or threatens the security or stability of our systems or of other users.

3. Accounts

Some areas of our platforms require an account. You are responsible for the accuracy of the details you register, for keeping your credentials confidential, and for activity carried out under your account. Tell us promptly if you believe an account has been compromised.

4. Intellectual property

All content, code, designs, documentation and materials on this website are the property of Neurobyte Technologies Ltd or its licensors and are protected by applicable intellectual property laws. You may view and share them for your own internal, non-commercial use, with attribution, but you may not resell, relicense or present them as your own.

Ownership of intellectual property created during a paid engagement is set out in the agreement for that engagement. Our default position for bespoke work is that ownership of the delivered work product transfers to the client on full payment, while our pre-existing tools, libraries and know-how remain ours and are licensed to the client for use in the delivered system.

5. Client obligations

Where we deliver services to you, you agree to give us the access, information, authorisations and timely decisions the work depends on. Security testing in particular does not begin until you have signed a rules-of-engagement document confirming that you own the systems in scope or are authorised to have them tested.

6. Fees and payment

Fees, currency, milestones and payment terms are set out in your quotation or contract, and our Billing Policy explains how we quote, invoice and collect payment. Unless stated otherwise, prices exclude applicable taxes, including VAT where it applies.

7. Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of the engagement, and protect it with at least reasonable care. Security findings, architecture documentation and test evidence are treated as confidential by default.

This obligation does not apply to information that is public through no fault of the receiving party, was already known to it, or must be disclosed by law.

8. Data protection

Personal data collected through this website is handled in line with our Privacy Policy. Where we process personal data on your behalf as part of a service, we do so as a data processor under a Data Processing Agreement, which is available to download from our Legal Documents page.

Neurobyte Technologies Ltd is registered with the Office of the Data Protection Commissioner as both a data controller and a data processor, registration number 805-7801-3679.

9. Warranties and disclaimers

We perform our services with reasonable skill and care, using appropriately qualified personnel.

The website, the free tools and the training content are provided as they are, without warranty of any kind. A security tool result, a grade or a scan output is informational: it is a point-in-time indicator, not a certification, not an assurance that a system is secure, and not a substitute for a scoped assessment.

Security testing is inherently bounded by scope, time and the environment tested. No assessment can prove the absence of vulnerabilities.

10. Limitation of liability

Neurobyte Technologies Ltd shall not be liable for any indirect, incidental, special or consequential damages, or for loss of profit, revenue, goodwill or data, arising from the use of our website, tools or services.

Where a paid engagement is in place, our total aggregate liability is limited to the amount set out in that agreement, and in the absence of such a term, to the fees paid for the engagement giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.

11. Third-party services

Our website and platforms link to and integrate with third-party services. We are not responsible for the content, availability or practices of services we do not operate, and your use of them is governed by their own terms.

12. Suspension and termination

We may suspend or terminate access to the website, an account or a free service where these terms are breached, where use threatens security or availability, or where the law requires it. Termination of a paid engagement is governed by the agreement for that engagement.

13. Changes to these terms

We may update these terms from time to time. The revised version takes effect when published on this page, and the date at the top shows when it was last changed. Continuing to use the site after a change means you accept the revised terms.

14. Governing law

These terms are governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction over any dispute arising from them, without prejudice to any dispute-resolution procedure agreed in a signed engagement contract.

15. Contact
